Please be aware that if you are, or wish to become, a customer of Kentik’s products or services, additional terms and conditions will apply with respect to such products and services. We urge you to read our Privacy Policy so you understand what information is collected, how we use it, and to whom we may disclose it. As a condition of submitting any information to Kentik via the Site, you agree to be bound by the terms and conditions of Kentik’s privacy policy and consent to the collection and processing of such data as specified therein. By providing any personal information to the Site, all users, including without limitation users in the European Union, fully understand and unambiguously consent to the collection and processing of such information in the United States.
Proprietary Rights
Unless otherwise noted on the Site, as between Kentik and you, Kentik is the owner or licensee of any trademark or service mark appearing on the Site, and is the owner or licensee of the Content, features, functionality, technology used to provide the Site, and all other proprietary rights in and to the Site.
No Content from the Site may be copied, reproduced, decompiled, disassembled, or reverse engineered nor republished, uploaded, posted, transmitted, or distributed in any way to unauthorized third parties. Notwithstanding the foregoing, licensors of Kentik’s products may download, copy, use, and access Content as necessary to use and operate those Kentik products (e.g., the associated Kentik product documentation) provided that all proprietary rights notices must be preserved. Other than the foregoing, use of the Site does not grant you a license to any Content, features, or other materials accessible on the Site. You may not modify, rent, lease, loan, sell, distribute, or create derivative works of the Content, features, or other materials, either in whole or in part. You may not use or access the Site or its Content for the purpose of building a competitive product or service nor to copy any ideas, features, functionality, or graphics. You may not use the Site in any way to attempt to gain unauthorized access to, or disrupt the integrity or performance of, the Site or any Content hosted on it. These links do not imply Kentik’s endorsement of or association with the Linked Sites. It is your sole responsibility to comply with the appropriate terms of service of the Linked Sites as well as with any other obligation under applicable laws related to your use of the Linked Sites.
Indemnity
You agree to indemnify and hold Kentik, its directors, officers, employees, agents, and affiliates harmless from any and all claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees related to your use of the Site, including but not limited to your violation of the law, any third party’s rights, or these Terms.

KENTIK DOES NOT WARRANT THAT THE SITE OR THE FUNCTION, CONTENT, OR SERVICES MADE AVAILABLE BY THE SITE WILL BE TIMELY, SECURE, UNINTERRUPTED, OR ERROR-FREE, NOR THAT DEFECTS WILL BE CORRECTED. KENTIK MAKES NO WARRANTY THAT THE SITE WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS.
NO ADVICE, RESULTS OR INFORMATION, OR CONTENT, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN. IF YOU ARE DISSATISFIED WITH THE SITE, YOUR SOLE REMEDY IS TO DISCONTINUE USING THE SITE.

IN NO EVENT SHALL THE TOTAL LIABILITY OF KENTIK TO YOU FOR ANY DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT OR TORT, INCLUDING BUT NOT LIMITED TO NEGLIGENCE OR OTHERWISE) ARISING FROM THE TERMS OR YOUR USE OF THE SITE EXCEED $100.00 IN THE AGGREGATE.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of incidental or consequential damages. Accordingly, some of the above limitations and disclaimers may not apply to you. In that event, the scope and duration of such warranty and/or the extent of our liability, will be the minimum permitted under such applicable law.
Governing Law/Jurisdiction
The laws of the state of California, excluding its conflicts-of-law rules, shall govern these Terms. The exclusive jurisdiction for any claim or dispute relating in any way to your use of the Site will be the state and federal courts of San Francisco County, California, and you agree and expressly consent to the exercise of personal jurisdiction in the state and federal courts of San Francisco County, California, in connection with any such dispute and including any claim involving Kentik or this Site. However, Kentik may apply for injunctive remedies in any jurisdiction.
International Use; Compliance with Laws
We control and operate the Site from our offices in the United States of America. We do not represent that the Content on the Site is appropriate or available for use in other locations. Persons who choose to access the Site from other locations do so on their own initiative, and are responsible for compliance with local laws, if and to the extent local laws are applicable.
You shall comply with all applicable laws, rules, and regulations in connection with your use of the Site, including all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside.
General Information
The Terms, in addition to any additional terms and conditions that are applicable to your use of certain parts of the Site, constitute the final and entire agreement between you and Kentik and govern your use of the Site, superseding any prior agreements between you and Kentik. The failure of Kentik to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect. You may not assign the Terms or any of your rights or obligations under the Terms without Kentik’s express written consent. The Terms inure to the benefit of Kentik’s successors, assigns, and licensees. The section titles in the Terms are for convenience only and have no legal or contractual effect.
